PROMOTION TERMS AND 
CONDITIONS

1.1           These Competition Terms and Conditions incorporate and must be read together with the Schedule for the Competition (together, the Competition Terms and Conditions). The Schedule prevails to the extent of any inconsistency with these Terms and Conditions of Entry.

1.2           Instructions on “How to Enter” also form part of these Competition Terms and Conditions.

1.3           By meeting the entry criteria, and submitting the required information (Entry), you (Entrant) confirm that you have read, understood, and agree to these Competition Terms and Conditions and meet the Eligibility Requirements.

1.4           The Promoter reserves the right to suspend or cancel the Competition or change any of the Competition Terms in any way it deems fit, without prior notice. The Promoter may announce any cancellation or modification to the Competition on the Competition Page, and Entrants give their consent to the Promoter to send emails about any such cancellation or modification.

1.5           The Competition Terms and Conditions are binding between the Entrant and the Promoter. Your Entry into this Competition is deemed acceptance of the Competition Terms and Conditions. Entry will be deemed accepted at the time of receipt by the Promoter and not at the time of transmission. Entries which are not legible, incomprehensible or incomplete are deemed invalid.

1.6           The Promoter accepts no responsibility for entries not received by the Promoter for any reason including late, lost, incomplete, incorrectly submitted, delayed, illegible, corrupted or misdirected entries whether due to error, omission, alteration, tampering, deletion, destruction or otherwise, including those. 

1.7           Capitalised terms are defined in the Schedule.

2    Entry Procedure

2.1           To enter the Competition, an Entrant must like the Instagram competition post as directed, tag a friend in the comments and be a follower, or follow @suzanne_grae & @rosesonlygroup on Instagram during the Competition Period, by:

a.              Liking the competition post

b.              Tag a friend in the comments of the competition post

c.       Be following or follow Roses Only & Suzanne Grae’s Instagram channels

D. confirming acceptance of these Competition Terms, the Promoter’s Website Terms of Use www.suzannegrae.com.au/terms-conditions and Privacy Policy www.suzannegrae.com.au/privacy-policy 

2.1           Any form of automated entry using any other devices or software is invalid. Entries submitted must not be offensive, defamatory or racist. Any such Entry will be invalid and the Entrant indemnifies the Promoter against all claims and costs by third parties arising from breach of this clause.

2.2           Entries submitted by any means other than as set out at clause 2.1 of these Terms will be invalid and will not be accepted. If an Entrant fails to comply with any of the Terms, any Entry submitted will be void. If an Entrant does not provide accurate personal information in the Entry, the Promoter may determine such Entry ineligible to participate in the Competition.

2.3           If an Entrant enters the Competition but no longer wish to participate, please email marketingteam@suzannegrae.com.au and you will be removed from the Competition. Costs associated with entering the Competition remain the Entrant’s responsibility.

3    Competition Draw and Prize Claim

3.1           The Prize will be drawn in accordance with the Draw Details. 

3.2           This is a game of chance and the winner will be randomly selected by the Promoter in its absolute discretion.

3.3           The Promoter reserves the right to require each Prize Winner to provide proof of identity, proof of age and proof of residency. Identification considered suitable for verification is at the Promoter’s discretion. The Promoter will endeavour to contact the Prize Winner using the details provided by the Prize Winner in their Entry form, within 72 hours of their Entry being drawn as a Prize Winner. To claim their Prize, the Prize Winner must, by the Prize Claim Date and Time, respond to the Promoter by email in the manner instructed by the Promoter. 

3.4           If the Prize is not claimed by the Prize Claim Date and Time, and the Promoter has made all reasonable inquiries to contact the Prize Winner and has been unsuccessful, or the Prize Winner informs the Promoter that they do not wish to claim the Prize, the Prize Winner may be redetermined via another random draw on the Replacement Draw Date (Replacement Draw). To claim their Prize, the Prize Winner of the Replacement Draw must, by the Replacement Draw Prize Claim Date and Time respond to the Promoter by email in the manner instructed by the Promoter.

3.5           Entrants should check their junk and spam email folders. The Promoter will not compensate a Prize Winner who fails to claim the Prize due to the notification going to their junk or spam folders or for unread, undelivered or incorrectly provided contact details. 

3.6           Once the Prize Winner has claimed the Prize, they will receive the Prize by email. Unsuccessful Entrants will not be contacted. The Promoter's decision is final and binding, and no correspondence will be entered into with respect to the chosen winner or winners.

3.7           The Prize Winner agrees to be contacted by the Promoter for the purposes of arranging the supply of the Prize. The Prize Winner’s last name and initial of their first name will be published for no less than 28 days on the Competition Page following completion of the draw.

3.8           The Promoter’s decision is final and no further correspondence will be entered into.

3.9           The Promoter assume no responsibility for any error, omission, interruption, deletion, defect, failure, malfunction, alteration, delay in delivery, operation or transmission, or other circumstance of any kind, which may affect an Entry or an Entrant’s participation in the Competition. 

4    Disqualification of Entrants

4.1           The Promoter may disqualify Entrants from the Competition who unreasonably interfere with the entry process or operation of the Competition or benefit from such unreasonable interference. The Promoter may disqualify Entrants from the Competition where the Entrant submits an Entry not in accordance with these Competition Terms and Conditions. Any errors or omissions will be accepted at the Promoter’s discretion.

5    Third Parties

5.1           The Competition may be advertised using third party products including Facebook and Instagram. The Competition is not sponsored, endorsed or administered by third parties unless otherwise stated in these Competition Terms and Conditions. 

6    General

6.1           The conduct of the Competition and these Competition Terms and Conditions shall be governed by the laws of Australia. To the maximum extent permitted by law, the Promoter (and their associated entities, employees, contractors, and agents):

a.     Disclaim all guarantees, warranties, and representations of any kind in respect of the Competition and the Prize, including the claiming and use of the Prize. 

b.     Exclude all liability for any loss (including damage, claim, injury, cost, or expense) which is suffered or incurred by an Entrant in connection with the Competition or the Prize, whether direct, indirect, special or consequential. This does not affect Suzanne Grae’s liability for death or personal injury arising from its negligence, nor any fraudulent misrepresentation, or any other liability which cannot be excluded or limited under Australian law.

c.     Will not be responsible for any events beyond their reasonable control, such as loss or corruption or destruction of data, loss arising from the transmission of viruses, unforeseen delay in transit of the Prize, any damage to the Prize, unforeseen closures or restrictions due to natural disasters, unexpected weather conditions, pandemics, war, terrorism, state of emergencies or disasters, or technical malfunction of any telephone network or lines, computer equipment, servers, software, technical problems or traffic congestion on the internet or at any website. To the extent an event beyond the reasonable control of the Promoter the Competition and Prize may be cancelled or modified by the Promoter in its sole discretion.

Nothing in these Competition Terms and Conditions limits, excludes or modifies or purports to limit, exclude or modify the statutory consumer guarantees as provided under the Australian Consumer Law being Schedule 2 to the Competition and Consumer Act 2010, as well as any other implied warranties under the ASIC Act or similar consumer protection laws in the States and Territories of Australia (“Non-Excludable Guarantees”).

7    Intellectual Property

7.1           Any material, including your name, image and likeness, that you submit as part of the Entry Procedure will be deemed to be non-confidential. You provide the Promoter with a royalty free, perpetual licence to use the material provided in any way the Promoter sees fit without renumeration for the purpose of promoting and marketing the Promoter, promoting the Competition, its outcome and any products manufactured, distributed, and/or supplied by the Promoter or its related companies. The Promoter is entitled to amend, edit, select, crop, retouch, add to or delete from any part of the submitted Entry.

8    Tax

8.1           The Promoter accepts no responsibility for any tax or other financial implications to the Prize Winner that may arise from claiming the Prize. The Prize Winner should obtain independent financial advice in this regard (at their own expense). 

9    Privacy

2    Entry Procedure

2.1           To be automatically entered into the Competition, an Entrant must sign up & opt in to accept marketing communications as part of the Grae Friends database, or be an existing opt-in  Grae Friends database member during the competition period, and meet the below criteria for a valid automatic entry:

a.     Spend $50 AUD or more in one transaction instore at Suzanne Grae or online at https://www.suzannegrae.com.au/. Total spend excludes shipping or transaction fees.

b.     Instore:  present their Grae Friends membership number or barcode, to qualify as a valid entry, and have the transaction linked to their Grae Friends database account. You will automatically be added into the draw.

c.     Online, Entrants must complete an online purchase at www.suzannegrae.com.au during the competition period while logged into their Grae Friends account.
